BylawsARTICLE I: ORGANIZATION
Section 1. The name of this organization shall be the Colton Wildcat Booster Club (hereinafter referred to as the Wildcat Club).
Section 2. Official address of the Wildcat Club will be c/o Colton High School, 706 Union St., Colton, Washington 99113ARTICLE II: PURPOSE
Section 1. The Wildcat Club’s mission is to promote and encourage the support of the communities of Colton and Uniontown in the interscholastic athletics of the Colton Junior and Senior High School. Thereby increasing participation in a variety of athletics, recognition of the students participating and their achievements and increasing the knowledge and appreciation of the activities supported at our school.
Section 2. Items and activities funded must directly benefit the students and/or coaching staffs of CHS.
Section 3. The Colton Wildcat Booster Club is an association organized and operated exclusively for charitable purposes within the meaning of 501(c)(3) of the Internal Revenue Code.ARTICLE III: OBJECTIVES
Section 1. Provide monetary support for athletic activities as an extension to the funding available through the school district for worthwhile projects.
Section 2. Promote and encourage attendance and enthusiasm at interscholastic athletic events supported by the school.
Section 3. Provide members an opportunity to become more knowledgeable about the students and activities supported at CHS.
Section 4. Recognize contributions by Boosters
Section 5. Recognize outstanding student athletes.ARTICLE IV: MEMBERSHIP
Section 1. Membership shall be open to any adult person or business in the community who is interested in promoting the purpose of the club. Membership is granted after completion and receipt of a membership application and annual dues. All members in good standing have the right to vote in club elections. The executive board shall determine membership dues annually.ARTICLE V: MEETINGS
Section 1. Regular meetings of the members shall be held quarterly, at a time and place designated by the chair.
Section 2. An Annual General Membership meeting shall take place in the month of October. The specific date, time and location will be designated by the executive board. At the annual meeting, the members shall elect officers and receive reports on the activities of the club and determine the direction of the club for the upcoming year.
Section 3. Special meetings of the Executive Board will be set by the President.
Section 4. Quorum: The members present at any properly announced meeting shall constitute a quorum, minimum of five members present.
Section 5. Voting: All subjects referred to the General Membership by the Executive Board shall be decided by a majority of those present at the meetings and in the case of an equal division of votes, the President, or in his/her absence, the ranking officer shall have the deciding vote.
ARTICLE VI: OFFICERS
Section 1. The officers of the Wildcat Club shall be a President, a Vice-President, a Secretary and a Treasurer. All officers shall be elected at the General Membership meeting. AlSecretary shall prepare and maintain full minutes of all meetings of the Executive Board and the membership meetings, shall conduct all correspondence of the Wildcat Club and perform l Officers shall serve two-year terms, but are eligible for re-election for up to two consecutive terms. A. The President shall preside at membership meetings and at allmeetings of the Executive Board. He/She shall perform such other duties as customarily pertain to the office of the President. The President will vote only in the case of a tie.B. The Vice-President shall have and exercise all the powers, authority and duties of the President during the absence of the latter. C. The such other duties as customarily pertain to the office of Secretary.D. The Treasurer shall receive, deposit and account for the current assets of the Wildcat Club; have charge of all funds, securities and financial records of the Wildcat Club; maintain appropriate records and be responsible for the collection of dues and assessments; make payments for all Wildcat Club liabilities; submit to the Executive Board andto the membership at each meeting a Financial Statement as of thelast day of the preceding month. The treasurer and one other member of the Executive Board shall separately count all funds to be deposited to the Wildcat Club’s account and the treasurer and one other member of the Executive Board shall sign appropriate approvals forall expenses paid from the account. The Treasurer shall perform such other duties as usually pertain to the office of the Treasurer.
Section 2. An Executive Board shall be formed to consist of the elected Officers. Four additional persons from the membership may be appointed to theExecutive Board at the discretion of the Executive Board.
Section 3. The time & place of the Executive Board meetings are to be determined by the President.
ARTICLE VII: NOMINATIONS & ELECTIONS
Section 1. Nominations are to be determined by the Executive Board &presented at the Annual General Membership Meeting.
Section 2. Nominations may also be made from the floor prior to the elections,provided that the nominee is present and indicates that the nomination is madewith his/her consent.
Section 3. Election of Officers will be determined by a majority vote of themembers present at the meeting.
ARTICLE VIII: COMMITTEES
Section 1. The board may create committees as needed, such as fundraising, public relations, scholarship, etc.
Section 2. Active committees will consist of a chairperson and members. A committee may be headed by co-chairs.
ARTICLE IX: FINANCIAL
Section 1. All funds of the Boosters shall be deposited in such qualified depository as the Executive Board may designate and shall be deposited promptly.
Section 2. All disbursements of funds shall be made by the Treasurer and/or the President as approved by the majority of the Executive Board.
ARTICLE X: DISBURSEMENT OF FUNDS
Section 1. Grant requests are submitted to the President at least fifteen days in advance of meeting at which they are to be considered and reviewed by the members in attendance at the meeting.
Section 2. A simple majority vote is required for the approval and distribution of funds.
ARTICLE XI: GENERAL PROVISIONS
Section 1. Booster year shall begin on the first day of October each year andend on the 30th day of September.
Section 2. It is expressly understood that any activity undertaken by theWildcat Club on behalf of the Colton High School extracurricular program will beclosely coordinated with the officials of Colton High School through appropriate channels.
ARTICLE XII: DISSOLUTION CLAUSE
Section 1. Upon the dissolution of this organization, assets shall be distributed for one or more exempt purposes within the meaning of 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for public purpose.
ARTICLE XIV: AMENDMENTS
Section 1. These By-laws may be amended by an affirmative vote of two-thirdsof the Booster membership present at the Annual General Membership Meeting provided that notice of such amendments shall be included in the notice of anyregular meeting held for such purpose.
